"Model Derivatives": All (i) modifications to Gemma, (ii) works based on Gemma, or (iii) any other machine learning model created by transfer of patterns of the weights, parameters, operations, or Output of Gemma to another model. Outputs are not considered Model Derivatives.
"Output": The information content output generated by Gemma or a Model Derivative.
1.2 Usage of "including"
The term "including" in this Agreement means "including without limitation."

Section 2: Eligibility and Usage
2.1 Eligibility
You represent and warrant that you have the legal capacity to enter into this Agreement. If you are accessing or using the Gemma Services for or on behalf of a legal entity, (a) you represent both yourself and the entity, (b) you have the authority to act on behalf of and bind the entity, and (c) "you" refers to both you and the entity.

2.2 Use
You may use, reproduce, modify, Distribute, perform, or display any of the Gemma Services only in accordance with this Agreement. You must not violate (or allow others to violate) any term of this Agreement.

Section 3: Distribution and Restrictions
3.1 Distribution and Redistribution
You may reproduce or Distribute copies of Gemma or Model Derivatives under these conditions:

Include the use restrictions from Section 3.2 as an enforceable provision in any agreement governing the use or Distribution of Gemma or Model Derivatives.
Provide notice to recipients that Gemma or Model Derivatives are subject to the restrictions in Section 3.2.
Provide a copy of this Agreement to third parties receiving Gemma or Model Derivatives.
Prominently note any file modifications.
Include a "Notice" text file with this statement: "Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms."
You may add additional terms for your modifications, provided they don’t conflict with this Agreement.
3.2 Use Restrictions
You must not use any of the Gemma Services:

For restricted uses set forth in the Gemma Prohibited Use Policy.
In violation of applicable laws and regulations.
Google reserves the right to restrict usage of the Gemma Services that violates this Agreement.

3.3 Generated Output
Google claims no rights in Outputs generated by Gemma. You and your users are solely responsible for the Outputs and their uses.

Section 4: Additional Provisions
4.1 Updates
Google may update Gemma periodically.

4.2 Trademarks
Nothing in this Agreement grants rights to use Google’s trademarks, trade names, or logos.

4.3 Disclaimer of Warranty
Gemma Services and Outputs are provided "as is" without warranties or conditions of any kind, unless required by law.

4.4 Limitation of Liability
To the fullest extent permitted by law, Google or its affiliates are not liable for any damages arising from this Agreement, Gemma Services, or Outputs.

4.5 Term, Termination, and Survival
This Agreement is effective upon your acceptance and continues until terminated. Google may terminate the Agreement for breach. Upon termination, you must delete and cease use of all copies of Gemma and Model Derivatives. Sections 1, 2.1, 3.3, and 4.2 to 4.9 survive termination.

4.6 Governing Law and Jurisdiction
This Agreement is governed by California law. The UN Convention on Contracts for the International Sale of Goods does not apply. Courts in Santa Clara County, California, have exclusive jurisdiction.

4.7 Severability
If any provision is held invalid, the remaining provisions remain in effect.

4.8 Entire Agreement
This Agreement contains all terms agreed between the parties, superseding prior agreements.

4.9 No Waiver
Google does not waive any rights by not exercising rights under this Agreement.

This model is a derivative work of the Gemma model by Google and is distributed under the terms of the Gemma Terms of Use.
  
**Commercial Use Restrictions**:
- Only "Saltware Co., Ltd." retains the exclusive right to use this model for commercial purposes.
