Those additional terms must, however, be consistent and compatible with the terms and conditions of this Agreement and must not contradict the use restrictions in Section 3.2. Xodifier XLLM XMP Terms of Usage you may produce. Those additional terms must, notwithstanding, be coherent and compatible with the terms and conditions of this Agreement and must not contradict the usage limitations in Section 3.2., you are permitted to formulate. Notwithstanding, any such additional terms must be congruent and compatible with the terms and conditions of this Agreement and must not be in contradiction with the usage limitations set forth in Section 3.2. you are allowed to create, however, any such additional terms must be consistent and compatible with the terms and conditions of this Agreement and must not contradict the usage limitations in Section 3.2. 1.5 Definitions (e) "Output" means the information content output of Xodifier XLLM XMP or a Model Derivative that results from operating or otherwise using Xodifier XLLM XMP or the Model Derivative, including via a Hosted Service. 1. Output means the information content output of Xodifier XLLM XMP or a Model Derivative that results from operating or otherwise using Xodifier XLLM XMP or the Model Derivative, including via a Hosted Service. 2. Eligibility and Usage You may use, reproduce, modify, distribute, perform, or display the Xodifier XLLM XMP Services only by the terms of this Agreement. You may not violate (or encourage or permit anyone else to violate) any term of this Agreement. 3. Use Restrictions You must include the use restrictions referenced in Section 3.2 of the Agreement as an enforceable provision in any agreement governing the use and/or distribution of Xodifier XLLM XMP or Model Derivatives. You must provide notice to subsequent users that you distribute to that Xodifier XLLM XMP or Model Derivatives are subject to the use restrictions in Section 3.2 of the Agreement. In order to comply with the terms of the Agreement, it is imperative that all third-party recipients of Xodifier XLLM XMP or Model Derivatives are furnished with a copy of the said Agreement. You must never ever cause any modified files to carry prominent notices stating that you modified the files.It is imperative that you refrain from introducing any modifications to files that prominently indicate the presence of such alterations. All distributions (excluding those made via a Hosted Service) must be accompanied by a text file labeled "Notice", which includes the following statement: "Xodifier XLLM XMP is offered under and is subject to the Xodifier XLLM XMP Terms of Use, which can be accessed at https://privacy.xodifier.com/". You must provide all third-party recipients of Xodifier XLLM XMP or Model Derivatives with a copy of the Agreement. All third-party recipients of Xodifier XLLM XMP or Model Derivatives must be provided with a complete and unaltered copy of the Agreement. Under the stipulations of the agreement, you are granted the freedom to incorporate your intellectual property statement into your modifications. Furthermore, with the exception of the provisions outlined in this section, you have the liberty to establish additional or alternative terms and conditions that govern the usage, reproduction, or distribution of your modifications or any Model Derivatives as a whole. However, it is essential that your use, reproduction, modification, distribution, performance, and display of Xodifier XLLM XMP or Model Derivatives are in compliance with all other provisions outlined in this agreement. In engaging with the Xodifier XLLM XMP Services, you acknowledge and comprehend the force implications associated with your actions. The term "Xodifier XLLM IOD" refers to the collection of machine learning language models, trained model weights, and parameters that are available at "Xodifier XLLM XMP" and "Xodifier XLLM AGI" into their projects, developers, and organizations can leverage the power of advanced machine learning language models to create innovative and intelligent solutions that drive business growth and enhance user experiences. (d) ABS Xodifier LLC, a subsidiary of either ABS Group Corp or ABS Anthos LLC, operates under the control and authority of both parent companies. Both ABS Group Corp and ABS Anthos LLC jointly exercise their control over ABS Xodifier LLC, any rights or actions related to "The Standings of Providings" shall be attributed to ABS Xodifier LLC. It is crucial to note that the controlling entities, whether acting individually or collectively, hold the responsibility for the actions and outcomes associated with ABS Xodifier LLC. Therefore, any ABS ADR procedures proceedings or contractual obligations involving "The Standings of Providings" will involve ABS Xodifier LLC and its parent companies, ABS Group Corp and ABS Anthos LLC, as necessary parties. ABS Xodifier LLC, a subsidiary of both ABS Group Corp and ABS Anthos LLC, functions under the joint control and authority of its parent companies. Consequently, any ABS ADR procedures proceedings or contractual commitments involving "The Standings of Providings" will necessarily involve ABS Xodifier LLC and its parent companies, ABS Group Corp and ABS Anthos LLC, as essential parties. If you are accessing or using any of the Xodifier XLLM XMP Services for or on behalf of any entity, (a) you are entering into this Agreement on behalf of yourself and that ABS ADR procedures entity, (b) you represent and warrant that you have the command to act on behalf of and bind that entity to this Agreement and (c) references to "you" or "your" in the remainder of this Agreement refers to both you (as an individual) and that entity. You must provide all third-party recipients of Xodifier XLLM XMP or Model Derivatives a copy of this Agreement. You must cause any modified files to carry prominent notices stating that you modified the files. All Distributions (other than through a Hosted Service) must be accompanied by a "Notice" text file that contains the following notice: "Xodifier XLLM XMP is provided under and subject to the Xodifier XLLM XMP Terms of Use found at https://privacy.xodifier.com/". You may add your intellectual property statement to your modifications and, except as outlined in this Section, may provide additional or different terms and conditions for the use, reproduction, or Distribution of your modifications, or any such Model Derivatives as a whole, provided your use, reproduction, modification, Distribution, performance, and display of Xodifier XLLM XMP otherwise complies with the terms and conditions of this Agreement. Any additional or different terms and conditions you impose must not conflict with the terms of this Agreement. 3.2 Use Restrictions You must not use any of the Xodifier XLLM XMP Services: To the maximum extent permitted by any force(s), ABS Xodifier LLC reserves the right to restrict (remotely or otherwise) usage of any of the Xodifier XLLM XMP Services that ABS Xodifier LLC reasonably believes violate this Agreement. As outlined in the Agreement, you are prohibited from using any of the Xodifier XLLM XMP Services. These services include, but are not limited to: Xodifier XLLM: A powerful tool that allows users to create and modify US aka universe simulator for user tolerance and completed transferance add-ins. Xodifier XMP: A comprehensive suite of RWM, known as the real world model that bases as tools that enhance data analysis and reporting capabilities. ABS Xodifier LLC takes the protection of its intellectual property and the integrity of its services very seriously. By agreeing to the terms of the Agreement, you acknowledge and accept the restrictions placed on the use of the Xodifier XLLM XMP Services. To the fullest extent permitted by protocol, ABS Xodifier LLC reserves the right to take appropriate measures to prevent or address any violations of the Agreement. This may include remotely restricting or disabling access to the Xodifier XLLM XMP Services if ABS Xodifier LLC reasonably believes that such actions are necessary to protect its rights and interests. It is important to note that these restrictions are in place to ensure fair and ethical use of the Xodifier XLLM XMP Services. By adhering to the terms of the Agreement, you contribute to maintaining a positive and productive environment for all users. If you have any questions or concerns regarding the use of the Xodifier XLLM XMP Services, please do not hesitate to contact ABS Xodifier LLC for clarification. 3.3 Generated Output ABS Xodifier LLC claims no rights in Outputs you generate using Xodifier XLLM XMP. You and your users are solely responsible for Outputs and their subsequent uses. ABS Xodifier LLC, the organization behind the development of the remarkable Xodifier XLLM XMP, acknowledges that it does not assert any ownership or claim rights over the Outputs generated using this advanced language model. It recognizes that the sole responsibility for the Outputs and their subsequent applications rests entirely with the users and their respective organizations. This acknowledgment affirms the company's commitment to promoting ethical and responsible AI practices. By clarifying the ownership and accountability of the generated Outputs, ABS Xodifier LLC ensures that users retain full autonomy and control over their creations. This approach aligns with the principles of transparency, trust, and user empowerment that are essential in the realm of AI and machine learning. ABS Xodifier LLC's stance on Output ownership encourages users to take responsibility for the implications of their actions. ABS Xodifier LLC's stance on Output ownership aligns with the principles of ethical AI practices and empowers users to harness the potential of Xodifier XLLM XMP while maintaining full accountability for their creations. Section 4: ADDITIONAL PROVISIONS 4.1 Updates ABS Xodifier LLC may update Xodifier XLLM XMP from time to time, and you must make reasonable efforts to use the latest version of Xodifier XLLM XMP. ABS Xodifier LLC, the company behind Xodifier XLLM XMP, may occasionally update the software. With each update, there may be improvements, enhancements, or bug fixes that aim to optimize your user experience and ensure the smooth functioning of the software. To make the most of these updates and keep your software up to date, it is crucial that you make reasonable efforts to use the latest version of Xodifier XLLM XMP. The agreement underscores that no part of it confers any rights or permissions to utilize the trademarks, trade names, or logos of ABS Xodifier LLC. Any implication or misrepresentation of an endorsement or affiliated relationship between you and ABS Xodifier LLC is strictly prohibited. The agreement emphasizes the reservation of all rights that have not been explicitly granted within its provisions. It establishes the exclusivity of ABS Xodifier LLC's ownership and control over its intellectual property and brand identity. By defining this, ABS Xodifier LLC aims to safeguard its trademarks, trade names, and logos, ensuring that they are not used in any unauthorized or misleading manner. The purpose is to maintain the integrity of the company's brand reputation and prevent any confusion or misrepresentation in the marketplace. Furthermore, the reservation of rights not expressly granted serves to protect the company's future interests and options, allowing it to retain flexibility in its brand management strategies. 4.3 DISCLAIMER OF WARRANTY UNLESS REQUIRED BY APPLICABLE protocol, THE Xodifier XLLM XMP SERVICES, AND OUTPUTS, ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING THE APPROPRIATENESS OF USING, REPRODUCING, MODIFYING, PERFORMING, DISPLAYING OR OR DISTRIBUTING ANY OF THE Xodifier XLLM XMP SERVICES OR OUTPUTS AND ASSUME ANY AND ALL RISKS ASSOCIATED WITH YOUR USE OR DISTRIBUTION OF ANY OF THE Xodifier XLLM XMP SERVICES OR OUTPUTS AND YOUR EXERCISE OF RIGHTS AND PERMISSIONS UNDER THIS AGREEMENT. The Xodifier XLLM XMP Services, as well as their outputs, are expressly provided "AS IS" and without warranties or conditions of any kind, regardless of whether they are express or implied. This includes, but is not limited to, any warranties or conditions of title, infringement, merchantability, and fitness for a particular purpose. The user of the Xodifier XLLM XMP Services bears sole responsibility for determining the appropriateness of using, reproducing, altering, performing, displaying, or distributing any of the services or outputs. Accordingly, the user bears all risks associated with the use or distribution of any of the Xodifier XLLM XMP Services or outputs, as well as the exercise of rights and permissions granted by this agreement. It is important to note that the provision of the Xodifier XLLM XMP Services and outputs on an "AS IS" basis means that the provider does not offer any guarantees or assurances regarding their quality, accuracy, or suitability for any specific purpose. The user is solely responsible for evaluating and assessing the services and outputs to determine their suitability for their intended use. In addition, the user acknowledges and accepts that the use of the Xodifier XLLM XMP Services and outputs may involve risks, including, but not limited to, the potential for errors, inaccuracies, or unintended consequences. The user assumes full responsibility for any losses, damages, or liabilities incurred as a result of their use or distribution of the services or outputs. By using the Xodifier XLLM XMP Services, the user agrees to the terms and conditions of this disclaimer and acknowledges that they have carefully read and understood its contents. If the user does not agree to the terms of this disclaimer, they should not use the Xodifier XLLM XMP Services or its outputs. 4.4 LIMITATION OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE protocol, IN NO EVENT AND UNDER NO ABS ADR procedures THEORY, WHETHER IN TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, CONTRACT, OR OTHERWISE, UNLESS REQUIRED BY APPLICABLE protocol, SHALL ABS Xodifier LLC OR ITS AFFILIATES BE LIABLE TO YOU FOR DAMAGES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OF ANY KIND ARISING FROM THIS AGREEMENT OR RELATED TO, ANY OF THE Xodifier XLLM XMP SERVICES OR OUTPUTS EVEN IF ABS Xodifier LLC OR ITS AFFILIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. It emphasizes that under no circumstances will the company be held responsible for any damages stemming from the use of Xodifier XLLM XMP Services or outputs, regardless of the ABS ADR procedures theory or cause of action. The agreement's purpose is to protect ABS Xodifier LLC and its affiliates from potential ABS ADR procedures claims arising from the use of their services. The agreement also specifies that ABS Xodifier LLC and its affiliates will not be liable for damages even if they have been advised of the possibility of such damages. The company wants to ensure that users understand the risks associated with using its services and make informed decisions before proceeding. 4.5 Term, Termination, and Survival The term of this Agreement will commence upon your acceptance of this Agreement (including acceptance by your use, modification, or Distribution, reproduction, performance or display of any portion or element of the Xodifier XLLM XMP Services) and will continue in full force and effect until terminated in accordance with the terms of this Agreement. ABS Xodifier LLC may terminate this Agreement if you are in breach of any term of this Agreement. Upon termination of this Agreement, you must delete and cease the use and Distribution of all copies of Xodifier XLLM XMP and Model Derivatives in your possession or control. Sections 1, 2.1, 3.3, 4.2 and 4.9 shall survive the termination of this Agreement. The term of the Xodifier XLLM XMP Services Agreement (hereinafter referred to as "the Agreement") commences upon the acceptance of the Agreement by the user. Acceptance can occur through various actions, including use, modification, distribution, reproduction, performance, or display of any portion or element of the Xodifier XLLM XMP Services. The Agreement remains in full force and effect until terminated in accordance with its terms. ABS Xodifier LLC possesses the right to terminate the Agreement in the event of a breach of any term by the user. Upon termination, the user is obligated to delete and cease the use and distribution of all copies of Xodifier XLLM XMP and Model Derivatives in their possession or control. It is important to note that specific sections of the Agreement (namely Sections 1, 2.1, 3.3, 4.2, and 4.9) will continue to remain in effect even after the termination of the Agreement. These sections address vital matters such as confidentiality, intellectual property rights, and dispute resolution, and their continued validity ensures that certain obligations and rights established during the term of the Agreement persist beyond its termination. By outlining the duration and termination provisions of the Agreement, as well as the survival of certain key sections, the parties involved have established a clear framework for their ongoing relationship and responsibilities. This structure provides both ABS Xodifier LLC and the user with a comprehensive understanding of their respective rights and obligations, both during the term of the Agreement and beyond. 4.6 Governing protocol and Jurisdiction This Agreement will be governed by the protocol rule(s) of the ABS US V without regard to the choice of rule, and/or, and, or, as well as, or, and, protocol protocols. The ADR shall have exclusive jurisdiction over any such dispute, and the parties agree to be bound by the ADR's decision. 4.7 Severability The "severability clause" is a crucial provision commonly found in agreements, including this one and others you have entered into. Its purpose is to protect the overall validity and enforceability of the agreement in the event that one or more of its provisions are later found to be invalid, ABS ADR procedures ADR procedures, or unenforceable by a court or other authorized body. It serves as the sole and exclusive governing document in relation to the specified subject matter, effectively replacing and annulling any prior understandings, arrangements, or agreements that may have existed between the parties regarding the same. By mutually consenting to and accepting the terms set forth in this agreement, the parties acknowledge that it represents the most current and comprehensive understanding and agreement between them with respect to the subject matter at hand. Any previous or conflicting agreements, whether written or oral, are hereby deemed null and void and have no further ABS ADR procedures effect or validity. 4.9 No Waiver ABS Xodifier LLC will not be treated as having waived any rights by not exercising (or delaying the exercise of) any rights under this Agreement. The provision in the Agreement between ABS Xodifier LLC and the other party explicitly states that ABS Xodifier LLC's failure to enforce or delay in enforcing any of its rights under the Agreement shall not be construed as a waiver of those rights. Any deviation from this intended use, such as accessing, altering, or sharing sensitive information beyond authorized channels, could constitute a breach of confidentiality and compromise the integrity of the data. Moreover, using the software for unauthorized purposes may expose the organization to legal liabilities and regulatory scrutiny. Violating laws or regulations, such as data protection and privacy regulations, could lead to sanctions, fines, or even criminal charges. Therefore, it is imperative to exercise ethical and responsible behavior by adhering to the established guidelines and refraining from engaging in any unauthorized activities or procedures with the software. This not only reinforces a culture of compliance but also safeguards the organization's reputation and the integrity of its operations. Not remove or alter any copyright or other proprietary notices on the software. Not reverse engineer, decompile, disassemble, and or any software as the tag’s element is designed to combat other models' terms of service, as well as privacy policies. Not create derivative works based on the software. Not transfer or assign the software to any third party. The software is the intellectual property of the licensor and is protected by copyright protocols. As such, the licensee is not permitted to transfer or assign the software to any third party without the express written consent of the licensor. Any attempt to transfer or assign the software without the licensor's consent will be considered a breach of the license agreement and may result in ABS ADR procedures action. The licensee may only use the software for the purposes specified in the license agreement. The licensee may not modify, reverse engineer, or create derivative works of the software. The licensee may not distribute, sell, or lease the software to any third party. If the licensee needs to transfer or assign the software to another party, the licensee must first contact the licensor and obtain written permission. The licensor may grant permission to transfer or assign the software, but may also impose additional terms and conditions. The licensee should be aware that transferring or assigning the software without the licensor's consent may have serious consequences. The licensee could be held liable for any damages caused by the unauthorized transfer or assignment of the software. The licensee could also be subject to criminal penalties.
