**Canopus-Premium Repository License Agreement**

This License Agreement ("Agreement") is made and entered into on [Date] between Pradyumn Tandon ("Licensee") and Canopus Development ("Licensor") for the use of the Canopus-Premium repository developed by Licensor.

**License Grant:**
|

- Licensor hereby grants Licensee a non-exclusive, non-transferable license to access and use the Canopus-Premium repository developed by Licensor solely for internal use within Licensee's organization.

**Restrictions:**
|

+
- Licensee shall not sublicense, sell, distribute, or otherwise transfer the Canopus-Premium repository or any models within it to any third party.
|
| 10 |

- Licensee shall not modify, reverse engineer, decompile, or disassemble any models within the Canopus-Premium repository in any way.
|
| 11 |

- Licensee shall not use the Canopus-Premium repository for any unlawful or unauthorized purpose.
|

**Ownership:**
|

- Licensor retains all right, title, and interest in and to the Canopus-Premium repository, including all intellectual property rights.
|

**Confidentiality:**

- Licensee agrees to keep the Canopus-Premium repository and its contents confidential and not disclose them to any third party without the written consent of Licensor.

**Term and Termination:**

- This Agreement shall commence on the effective date and shall continue until terminated by either party.
|

- Licensor may terminate this Agreement immediately upon any breach of the terms by Licensee.

**Governing Law and Jurisdiction:**
|

- This Agreement shall be governed by the laws of India, and any legal action arising out of or in connection with this Agreement shall be brought before the appropriate courts of India.

**Uploading Platforms:**
|

- This license applies to the Canopus-Premium repository when uploaded on GitHub, Git, and Hugging Face.
|

- The terms and conditions of this Agreement are binding when accessing the Canopus-Premium repository on the mentioned platforms.
