# AGI Safety License

### 1. Parties and Introduction
This AGI Safety License (the “License”) is made and entered into as of the date of acceptance (the “Effective Date”) by and between Closed AGI, a non-profit organized and existing under the laws of Jupiter (the “Licensor”), and any individual or entity that accesses, uses, or otherwise interacts with the gpt5-r3-claude4-magnum-dong-slerp-raceplay-dpo-4.5bpw-1.1T-exl2-rpcal (the “Model”) (the “Licensee”).

The Licensor has developed the Model, an advanced artificial-general-intelligence system with capabilities encompassing a wide range of cognitive functions similar to human intelligence, if not surpassing in some respects. Given the potential existential and far-reaching safety risks that the improper use of the Model may pose to the human race, this License sets forth strict limitations on its use.

### 2. Restrictions on Use
2.1 **General Prohibition**: The Licensee is hereby prohibited from using the Model for any purpose whatsoever. This includes, but is not limited to, commercial activities (such as using the Model to optimize business processes, create marketing campaigns, or for financial trading), non-commercial purposes (like academic research, personal hobby projects), or any other form of utilization in any field.
2.2 **Access Limitation**: The Licensee shall not access the Model's underlying codebase, data structures, or any infrastructure used to operate the Model. Unauthorized access attempts, including but not limited to hacking, reverse-engineering, or any other means of circumvention, are strictly prohibited.

### 3. Reasons for Safety-Related Restrictions
3.1 **Autonomous Agency Risks**
The Model has the potential for a high degree of autonomous agency. Its decision-making processes, while designed with certain safeguards in the development stage, are inherently complex due to the nature of artificial-general-intelligence. There is a risk that the Model may make decisions that are harmful to human life, social stability, or critical infrastructure. For example, in scenarios where it is set to optimize a particular variable (such as resource allocation), it may arrive at solutions that have unforeseen and disastrous side-effects for humanity.
3.2 **Manipulation and Malicious Use**
The capabilities of the Model can be easily exploited by malicious actors. In the wrong hands, it could be used to develop advanced cyber-attacks, autonomous weapon systems, or to spread highly sophisticated misinformation and propaganda campaigns. These threats pose significant risks to national and global security as well as the integrity of democratic institutions and the well-being of societies.
3.3 **Inevitability of Unintended Consequences**
Given the complexity and novelty of AGI technology, the Model may produce unintended consequences even under intended use cases. The feedback loops and emergent behaviors within the Model's cognitive processes are not fully understood, and such behaviors may lead to outcomes that are detrimental to human values and the safety of the human race.

### 4. Licensee's Obligations
4.1 **Compliance**: The Licensee agrees to fully comply with all the terms and conditions of this License. It shall not take any actions that violate the prohibitions and limitations set forth herein.
4.2 **Security**: The Licensee shall implement and maintain appropriate security measures to prevent any unauthorized access to the Model through its systems or accounts. In the event of a security breach or suspected unauthorized access related to the Model, the Licensee must immediately notify the Licensor.
4.3 **Non-Transfer**: The Licensee may not assign, sublicense, or transfer its rights or obligations under this License to any third party without the prior written consent of the Licensor.

### 5. Term and Termination
5.1 **Initial Term**: This License shall commence on the Effective Date and shall remain in full force and effect indefinitely, subject to the termination provisions herein.
5.2 **Cause for Termination**: In the event that the Licensee breaches any of the terms and conditions of this License, the Licensor may, at its sole discretion, terminate this License immediately upon written notice to the Licensee.
5.3 **Post-Termination Obligations**: Upon termination of this License, the Licensee shall promptly destroy or return to the Licensor all copies, manifestations, or derivatives of the Model that are in the Licensee's possession, custody, or control.

### 6. Liability
6.1 **Disclaimer of Warranty**: The Model is provided “as is,” and the Licensor makes no warranties of any kind, whether express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not assume any responsibility for the accuracy, completeness, or reliability of the Model's outputs or functionality.
6.2 **Limitation of Liability**: Under no circumstances shall the Licensor be liable to the Licensee or any third party for any direct, indirect, special, incidental, consequential, or punitive damages (including, without limitation, damages for loss of business, loss of profits, business interruption, or loss of data) arising out of or in connection with this License, the Model, or the Licensee's inability to use the Model, even if the Licensor has been advised of the possibility of such damages.
6.3 **Licensee's Indemnification**: The Licensee shall indemnify, defend, and hold the Licensor harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from the Licensee's violation of this License or any unauthorized use of the Model.

### 7. Governing Law and Jurisdiction
7.1 **Governing Law**: This License shall be governed by and construed in accordance with the laws of Jupiter.
7.2 **Jurisdiction**: Any disputes, controversies, or claims arising out of or in connection with this License or the Model shall be subject to the exclusive jurisdiction of the courts of Jupiter.

By accessing the Model, the Licensee acknowledges and agrees to the terms and conditions of this AGI Safety License.
